Terms and conditions of Wasatch Automation, LLC
Payment Terms: Customers who have filled out a credit application agree to pay for all goods and services provided by the Company within 30 days from the date of invoice unless otherwise agreed in writing. Payments received after the due date may be subject to a late payment fee of 1.5% of the outstanding balance, or the maximum allowed by law, whichever is lower.
Payment Method: Payments can be made by check, wire transfer, or credit card.
Warranty: The Company warrants that all goods and services provided shall be of good quality, free from defects, and conform to the specifications agreed upon by the customer. If there is any breach of this warranty, the Company will, at its option, repair, replace or refund the defective goods or services.
Limitation of Liability: The Company shall not be liable for any damages arising out of the use or inability to use the goods or services provided, whether based on warranty, contract, tort, or any other legal theory. The customer's sole remedy is to obtain a refund or replacement as described in the warranty section.
Intellectual Property: The customer acknowledges that the Company is the owner of all intellectual property rights related to the goods and services provided. The customer shall not reproduce, modify, or distribute any part of the goods or services without the Company's prior written consent.
Confidentiality: The customer agrees to keep all confidential information provided by the Company, including but not limited to trade secrets, pricing, and technical specifications, confidential and not to disclose it to any third party without the Company's prior written consent.
Termination: Either party may terminate the agreement at any time for any reason by providing written notice to the other party. The customer agrees to pay for all goods and services provided up to the date of termination.
Governing Law: This agreement shall be governed by and construed in accordance with the laws of the state in which the Company is located. Any dispute arising out of or in connection with this agreement shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.
By using the Company's services, the customer agrees to be bound by these terms and conditions. If the customer does not agree to these terms and conditions, they should not use the Company's services. The Company reserves the right to amend these terms and conditions at any time, and any such amendments will be posted on the Company's website.
